By accessing or using the SideKyk service ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

SideKyk provides an AI-powered assistant accessible via WhatsApp. The Service includes:

  • AI conversation and assistance via WhatsApp messaging
  • File generation capabilities (presentations, documents, spreadsheets, PDFs)
  • Team collaboration features with isolated sessions
  • Personalization and memory features
  • Account and team management

3. Account Registration

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the security of your account and phone number.
  • You must be at least 16 years old to use the Service.
  • One person or legal entity may maintain no more than one free account.
  • You are responsible for all activity that occurs under your account.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
  • Impersonate any person or entity
  • Attempt to gain unauthorized access to the Service or its related systems
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Use the Service to send spam or unsolicited messages
  • Generate content that infringes on intellectual property rights of third parties
  • Use the Service for any purpose that is competitive with SideKyk
  • Reverse engineer, decompile, or disassemble any aspect of the Service
  • Use automated means to access the Service beyond normal usage

5. Subscription and Payment

  • Free Trial: We may offer a free trial period. At the end of the trial, your subscription will begin unless you cancel.
  • Billing: Paid plans are billed monthly or annually in advance. Prices are in USD unless otherwise stated.
  • Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
  • Refunds: We do not provide refunds for partial months of service or for unused features.
  • Price Changes: We may change prices with 30 days' notice. Continued use after a price change constitutes acceptance.

6. AI-Generated Content

  • Ownership: You retain ownership of the content you provide to the Service. You own the files and content generated by the AI based on your prompts.
  • Accuracy: AI-generated content may contain errors, inaccuracies, or biases. You are responsible for reviewing and validating all AI output before use.
  • No Guarantees: We do not guarantee the accuracy, completeness, or suitability of any AI-generated content for any particular purpose.
  • Professional Advice: AI-generated content does not constitute professional, legal, medical, financial, or other specialized advice.

7. Intellectual Property

  • The Service, including its design, features, and technology, is owned by SideKyk and protected by intellectual property laws.
  • You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.
  • You may not copy, modify, distribute, sell, or lease any part of the Service.
  • The SideKyk name, logo, and related marks are trademarks of SideKyk.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

9. Service Availability

  • We strive to maintain high availability but do not guarantee uninterrupted access to the Service.
  • The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.
  • We may modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
  • SIDEKYK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
  • WE ARE NOT LIABLE FOR DECISIONS MADE BASED ON AI-GENERATED CONTENT.

11. Indemnification

You agree to indemnify and hold harmless SideKyk, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service or violation of these Terms.

12. Termination

  • You may terminate your account at any time by contacting us.
  • We may suspend or terminate your account if you violate these Terms or for any other reason with notice.
  • Upon termination, your right to use the Service ceases immediately.
  • Data deletion following termination is handled according to our Privacy Policy.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, United States, without regard to its conflict of law provisions.

14. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or through the Service. Continued use after changes constitutes acceptance of the modified Terms.
